This Agreement takes effect on the date you complete purchase of a MediaSoftPro software license ("Effective Date"). You confirm that you are at least 18 years of age and, if purchasing on behalf of a business entity, you have the authority to legally bind that entity. This Agreement governs all MediaSoftPro software products including PlacoRealEstate, PlacoClassifiedAds, PlacoRecruiter, PlacoEcommerce, PlacoMedia, PlacoDirectories, PlacoDMS, and any future products purchased under separate orders.
A Starter License grants Licensee a non-exclusive, non-transferable, perpetual license to use the Software for a single project in a single production environment using one technology stack. "Single project" means one website, application, or platform built for a specific purpose โ either Licensee's own business or a single client engagement. Deploying the same license for a second client or second application requires an upgrade to a Professional License.
A Professional License grants Licensee a non-exclusive, non-transferable, perpetual license to deploy the Software for unlimited projects across all technology stacks. Licensee may deliver the deployed application to clients under their own agency brand. Licensee may not: (a) package or sell the Source Code itself as a standalone product to third parties; (b) create a competing product for commercial resale from the Source Code; or (c) grant sublicenses to third parties. White-label and resale rights require an Enterprise License.
An Enterprise License is governed by a separately negotiated Enterprise License Agreement, which supersedes the general terms of this Agreement where they conflict. MediaSoftPro retains all intellectual property rights, title, and interest in the Software and all original portions of the Source Code. The license granted is not a sale of the intellectual property.
Derivative Works (modifications and extensions) created by Licensee are owned by Licensee. However, these Derivative Works incorporate the underlying MediaSoftPro codebase, which remains MediaSoftPro's intellectual property. Derivative Works may not be distributed or sold separately in violation of your license tier restrictions.
Under Starter and Professional licenses, internal code comments referencing MediaSoftPro as the original software vendor should be retained where reasonable. Under Enterprise white-label licenses, all attribution may be removed and replaced with Licensee's branding per the Enterprise agreement.
Free updates are provided for the period specified in your license tier (12 months for Starter, 24 months for Professional). Updates include:
Updates are delivered via the same download channel as the original Source Code. After the free update period expires, Licensee retains perpetual use of the latest version received. Continued update coverage may be renewed at a discounted rate.
MediaSoftPro does not guarantee backward compatibility across major version releases (e.g., v5.x โ v6.x may include breaking changes). We will provide migration guidance and reasonable notice for major version transitions.
MediaSoftPro products include integration code for Anthropic's Claude AI API. The following terms apply:
License fees are one-time payments in USD, processed via Stripe or PayPal. Payment is due in full at time of purchase. Upon successful payment verification:
If you do not receive delivery within 24 hours, contact support@mediasoftpro.com immediately with your payment confirmation reference.
Due to the digital and irrevocable nature of Source Code delivery, all sales are final and no refunds are provided after Source Code access has been granted. This policy exists because, unlike physical goods, digital Source Code cannot be "returned."
If a technical issue prevents delivery within 48 hours of payment, you are entitled to a full refund upon verification that delivery failed through no fault of your own.
Initiating a chargeback or payment dispute after Source Code has been delivered constitutes fraudulent misrepresentation. MediaSoftPro will respond to all chargeback disputes with evidence of delivery and may pursue legal remedies for damages including attorney fees and court costs.
If you purchase a Starter License and wish to upgrade to Professional within 30 days, the Starter License fee will be credited toward the Professional License price. Contact support@mediasoftpro.com to arrange an upgrade.
MediaSoftPro warrants that the Software will substantially perform the functions described in its documentation for a period of 90 days from delivery ("Warranty Period"). Our sole obligation under this warranty is to provide bug fixes or replacement code for documented defects reported within the Warranty Period.
EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Support is provided via email at support@mediasoftpro.com. Professional License holders receive priority support with shorter response targets. Enterprise License holders receive SLA-backed support as defined in their Enterprise agreement.
The Software, including all Source Code, documentation, architecture patterns, and designs, is the intellectual property of MediaSoftPro, protected by United States copyright law and international treaties. Nothing in this Agreement transfers intellectual property ownership to Licensee. All rights not expressly granted are reserved by MediaSoftPro.
Licensee may not file any patent applications based on the MediaSoftPro codebase without written permission. Trademarks, service marks, and trade names of MediaSoftPro may not be used in Licensee's products or marketing without written consent (except as permitted under Enterprise white-label agreements).
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you to the full extent stated.
This Agreement and the license granted hereunder will terminate automatically and immediately without notice if Licensee:
Upon termination, Licensee must immediately cease all use of the Software and destroy all copies in their possession. Sections 14, 15, 17 and any accrued payment obligations survive termination. MediaSoftPro reserves all rights to pursue legal remedies for breaches.
This Agreement is governed by the laws of the State of California, USA, excluding its conflict of law provisions. Any legal action or proceeding arising from this Agreement shall be brought exclusively in the state or federal courts located in Los Angeles County, California. Both parties irrevocably consent to the personal jurisdiction and venue of such courts.
Before initiating legal proceedings, the parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days following written notice of the dispute. This clause does not apply to emergency injunctive relief for intellectual property violations.
