By accessing our website, purchasing a license, or using any MediaSoftPro product, you confirm you are at least 18 years old and legally capable of entering binding contracts. If acting on behalf of a business, you represent that you have authority to bind that entity. If you do not agree, cease all use immediately.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, perpetual license as follows:
Permits one (1) production deployment using one (1) technology stack, for one project (client or own use).
Permits unlimited deployments across all available technology stacks for unlimited projects under your own brand. Does not include white-label or resale rights.
Includes all Professional rights plus white-label authorization. Terms negotiated individually via a separate Enterprise License Agreement.
Unless expressly permitted by your license tier, you may NOT:
All license fees are one-time payments in USD, processed via Stripe or PayPal. Source Code is delivered within 24 hours of payment verification. Due to the digital nature of Source Code, all sales are final — no refunds after delivery. Contact support before initiating any chargeback; fraudulent chargebacks after delivery constitute fraud and may result in license termination and legal action.
MediaSoftPro retains all intellectual property rights in the Software. Your purchase grants a license to use the Software — it is not a transfer of ownership. Modifications you make to the Source Code are owned by you; however, they do not affect MediaSoftPro's ownership of the underlying original codebase. Under Starter and Professional licenses, your modifications may not be distributed or sold separately.
Our products include integration hooks for Anthropic's Claude AI API. Use of these features requires your own Anthropic API key and is subject to Anthropic's separate Terms of Service. MediaSoftPro is not responsible for: the accuracy or quality of AI-generated content; Anthropic's pricing or API availability changes; claims arising from AI-generated content in your deployment; or data transmitted to Anthropic via your API key. You are solely responsible for AI feature compliance with applicable laws.
Support is provided via email at support@mediasoftpro.com with commercially reasonable response efforts. Free updates cover the period specified in your license tier (12 or 24 months). After this period, you retain perpetual use of the version delivered. We reserve the right to modify or deprecate product features with reasonable notice and do not guarantee backward compatibility across major versions.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIASOFTPRO DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE FULLEST EXTENT PERMITTED BY LAW, MEDIASOFTPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. MEDIASOFTPRO'S AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL LICENSE FEE PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless MediaSoftPro and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Software; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you create or deploy using the Software.
We may terminate your license immediately without notice for material breach of these Terms, including unauthorized distribution of Source Code, fraudulent chargebacks, or illegal use. Upon termination, you must cease all use and destroy all copies in your possession. Sections 6, 9, 10, 11, and 13 survive termination.
These Terms are governed by California law (USA) without regard to conflict of law principles. Disputes shall be resolved in the state or federal courts of Los Angeles County, California. You waive any objection to such jurisdiction and venue.
We may modify these Terms at any time by posting revised Terms with an updated effective date. Your continued use of the Software or website after changes constitutes acceptance. We encourage periodic review.
